Terms of Service

1. Parties
These terms govern the relationship between BFECOM SARL (trading as “EuroFBA”), a French SARL with registered office at 55 Presqu'île André Malraux, 67100 Strasbourg, France (SIREN 897 695 581, RCS Strasbourg) — hereinafter “Service Provider” — and the client who purchases the EU Launch Sprint service — hereinafter “Client”.
Services are invoiced by BFECOM SARL. VAT number: FR95897695581.
2. Service description
The EU Launch Sprint is a 90-day done-with-you consulting engagement. The Service Provider delivers:
- Pre-launch catalog audit and 90-day tailored roadmap
- VAT/EPR strategy: provider selection, document checklist, and registration coordination across DE, FR, IT, ES (Client executes registrations with chosen providers)
- Amazon EU Seller Central setup guidance and marketplace activation walkthrough (Client executes all account actions; no Seller Central access is required from or granted to the Service Provider)
- Native listing localisation brief and review in DE, FR, IT, ES
- Pricing strategy per marketplace
- Pan-EU FBA strategy, marketplace activation checklist (incl. Amazon.nl), and first shipment logistics plan
- 12 weekly strategy calls (1 hour each, scheduled in US afternoon hours)
- Unlimited Slack and email support during the 90-day engagement
- Handover documentation and SOPs at end of engagement
Not included: Government VAT/EPR registration fees, VAT/EPR provider fees, translation provider costs, product testing or certification, customs broker fees, freight, Amazon fees, ad spend, PPC management, A+ content design, product photography. The Service Provider will flag all expected third-party costs before the engagement starts.
Nature of the engagement: EuroFBA provides consulting, coordination, documentation, templates, review and guidance. The Client remains responsible for executing actions inside their Seller Central account unless otherwise agreed in writing. EuroFBA does not provide legal, tax or accounting advice and does not replace licensed tax, customs or legal advisors. The Client is solely responsible for product compliance with EU regulatory requirements.
Allocation of responsibilities:
- Service Provider (EuroFBA): strategy, roadmap, document checklists, templates, call walkthroughs, coordination with VAT/EPR providers, review of Client setup.
- Client: all Seller Central account actions, document submission, KYC, payments to government and third-party providers, final product compliance, inventory decisions.
- VAT/EPR providers: actual registration filings with tax and EPR authorities, invoicing of their own fees, ongoing filings post-launch.
- Amazon and authorities: account reviews, marketplace approvals, registration processing, audits — all subject to their own timelines.
3. Fees and payment
The fee for the EU Launch Sprint is $9,500 USD (or EUR equivalent at the invoice date exchange rate, excl. any applicable taxes).
Two payment options:
- Full payment: $9,500 due before the engagement starts.
- Split payment: $4,975 due before start, and $4,975 due at day 45 of the engagement.
Payment is processed via Stripe (credit/debit card or bank transfer). A payment link is sent with the proposal. Work commences upon receipt of the first payment.
4. Client obligations
The Client agrees to:
- Provide accurate and complete information about their business, products, and Amazon accounts
- Respond to requests for documents, approvals, or decisions within 5 business days
- Complete KYC and identity verification required by Amazon, VAT authorities, or EPR agencies
- Ensure their products comply with EU safety, labelling, and regulatory standards applicable to their category
- Attend weekly strategy calls or notify the Service Provider in advance if unable to attend
Delays caused by the Client's failure to fulfil these obligations may extend timelines without affecting fees.
5. Third-party dependencies and timeline variations
The Service Provider manages the process and acts as a guide, but certain steps depend on third parties outside its control:
- Amazon: account reviews, listing approvals, Brand Registry processing, and FBA intake scheduling are subject to Amazon's own timelines and policies
- VAT authorities: VAT registration timelines vary by country (typically 4–12 weeks) and may be extended during peak periods or if additional documentation is requested
- EPR agencies: EPR registration timelines vary by country and product category
- Banks and payment providers: KYC and account verification timelines are outside the Service Provider's control
The Service Provider will proactively flag risks, escalate where possible, and adjust the roadmap to accommodate delays beyond its control.
6. No guarantee of sales results
The EU Launch Sprint delivers operational readiness: the Client will be legally compliant, properly registered, and launch-ready on the target marketplaces. It does not guarantee any specific level of sales, revenue, or profitability.
Sales performance after launch depends on factors outside the Service Provider's control, including product quality, pricing competitiveness, customer demand, Amazon search algorithm, and market conditions.
7. Go-live guarantee
If the Client is not launch-ready on all agreed EU marketplaces by day 90 due solely to the Service Provider's execution, the Service Provider will continue working at no additional cost until the launch-ready condition is met.
The 90-day guarantee excludes delays caused by:
- Amazon: account reviews, listing approvals, marketplace activations, Brand Registry processing, FBA intake, suspensions, or policy changes
- VAT or EPR authorities: registration processing times, document requests, audits
- Missing or late Client documents (KYC, product info, financial data, signatures)
- Product compliance issues (CE marking, labelling, testing, category restrictions)
- Inventory or freight delays (production, customs clearance, customs broker issues, shipment delays to FBA)
- Account verification delays (Seller Central identity verification, bank verification, tax interview)
- Third-party providers (VAT/EPR agents, translators, freight forwarders, customs brokers)
- Client inaction or failure to fulfil Client obligations (section 4)
- Pre-existing Amazon account issues at the start of the engagement
- Force majeure events
8. Refund policy
Day-15 fit check refund. If, at the conclusion of the Days 1–15 audit, the Service Provider determines in good faith that EU expansion is not suitable for the Client's brand at this time (due to margin, category, compliance or readiness factors uncovered during the audit), the Client's first payment will be fully refunded within 10 business days and the engagement will be terminated by mutual agreement.
After Day 15. Beyond the Day-15 fit check, due to the progressive nature of consulting services, fees paid are non-refundable. The Day-15 audit and the free 15-minute discovery call exist specifically to ensure mutual fit before any meaningful commitment is locked in.
9. Confidentiality and data security
Both parties agree to keep all business information, financial data, Amazon account details, and strategic materials shared during the engagement strictly confidential. This obligation survives termination of the engagement by 3 years.
Each party shall implement reasonable technical and organisational measures to protect confidential information from unauthorised access or disclosure.
10. Limitation of liability
The Service Provider's total aggregate liability under these terms shall not exceed the total fees paid by the Client for the engagement in question.
The Service Provider shall not be liable for indirect or consequential losses, including lost profits, loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such losses.
11. Dispute resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation for a period of 30 days from the date one party notifies the other in writing.
If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts of Strasbourg, France.
12. Governing law
These terms are governed by and construed in accordance with French law.
